These Terms of Service (“Terms”) govern your access to and use of the AGsoundtrax website, music catalog, downloadable files, licenses, and related services.

The website is operated by AGsoundtrax, LLC (“AGsoundtrax,” “we,” “us,” or “our”).

By visiting our website, creating an account, purchasing or downloading music, or using any AGsoundtrax service, you agree to these Terms. If you do not agree, you must not use our website, music, or services.

2. Our services

AGsoundtrax provides a curated library of stock music, royalty-free production music, music packs, previews, downloadable audio files, music licenses, custom music services, and related copyright-clearance assistance.

Music may be offered for use in projects including:

  • Videos and online content

  • Films and television productions

  • Advertisements and promotional content

  • Podcasts

  • Websites

  • Presentations

  • Mobile applications

  • Games

  • Social-media content

  • Public venues

  • Other audiovisual and multimedia productions

Availability, pricing, file formats, and license options may change over time.

3. Meaning of “royalty-free”

“Royalty-free” does not mean that the music is free of charge or free from copyright.

It means that after purchasing the appropriate license, you may use the licensed music within the permitted scope without paying AGsoundtrax an additional royalty each time the completed project is played or viewed.

All music remains protected by copyright. Purchasing a license gives you limited usage rights; it does not transfer ownership of the composition, recording, copyright, or other intellectual-property rights.

4. Eligibility

You must be legally capable of entering into a binding agreement to use our paid services.

If you purchase on behalf of a company, organization, client, or other legal entity, you confirm that you have authority to accept these Terms on its behalf.

If you are under the age of legal majority in your country, a parent or legal guardian must make the purchase and accept these Terms for you.

5. Accounts

Some services may require an account.

You agree to:

  • Provide accurate and current information

  • Keep your login details secure

  • Notify us if you suspect unauthorized access

  • Accept responsibility for activity performed through your account

  • Avoid sharing an account in a way that circumvents licensing or pricing

We may suspend or restrict an account when we reasonably believe that it is being used fraudulently, illegally, or in violation of these Terms or an applicable music license.

6. Music previews

Watermarked or low-resolution previews are provided only to help you evaluate music before purchasing a license.

Unless we expressly authorize otherwise in writing, previews may not be:

  • Used in a published or distributed project

  • Broadcast or publicly performed

  • Monetized

  • Resold or redistributed

  • Presented as licensed music

  • Used in final client work

  • Used to train an artificial-intelligence system

A valid license must be purchased before the music is used in a published project.

7. Purchasing a music license

When you purchase music, you purchase a limited license to use that music under the selected license type.

You do not purchase the copyright or ownership of the music.

Your license becomes valid after:

  1. Payment has been successfully completed;

  2. The order has been accepted; and

  3. The applicable license has been issued or made available to you.

Your receipt, order confirmation, or license certificate may identify:

  • The licensed track or music pack

  • The customer or license holder

  • The selected license

  • The permitted project or use

  • The purchase date

  • The amount paid

You should retain your receipt and license documentation as proof of authorization.

8. License terms

The rights included with a purchase depend on the license selected at checkout and the description displayed on the applicable product or license page.

AGsoundtrax may offer license levels such as Basic, Silver, Platinum, or other specifically named licenses.

Different licenses may permit different uses, including differences relating to:

  • Commercial or noncommercial use

  • Number of end products

  • Audience size

  • Broadcast use

  • Film and television use

  • Advertising

  • Games and applications

  • Public venues

  • Number of physical or digital copies

  • Client work

  • Social-media use

  • Monetization

  • Distribution limits

The license terms displayed at the time of purchase form part of these Terms.

If the terms of a specific written license conflict with these general Terms, the specific written license controls regarding the permitted use of the music.

9. General license grant

Subject to payment and compliance with these Terms, AGsoundtrax grants the license holder a limited, non-exclusive, non-transferable, and non-sublicensable right to synchronize and incorporate the licensed music into an eligible end product covered by the purchased license.

An “end product” means a completed production in which the music has been combined with other meaningful creative content.

Examples include a completed film, video, podcast episode, advertisement, game, application, presentation, or similar production.

The music must not be the primary standalone value of the end product.

10. One project and multiple projects

Unless the purchased license expressly allows multiple or unlimited projects, a license covers one end product or one clearly identified project.

Different edits, versions, resolutions, languages, or platform exports of substantially the same production may be treated as the same end product, provided they do not materially become separate productions or campaigns.

A new license may be required for:

  • A different client

  • A different advertisement or campaign

  • A new film, video, episode, application, or game

  • A separate product

  • A materially different production

  • Any use outside the scope of the original license

A license that expressly permits unlimited products or multiple projects is governed by the scope stated for that license.

11. Client work

You may use licensed music in a project created for a client only when the purchased license permits that use.

You may deliver the completed end product to the client. You may not transfer the original music file or grant the client independent rights to use the music in unrelated projects.

The client must purchase a separate license for any new or independent use unless the applicable license expressly provides otherwise.

You remain responsible for ensuring that the use falls within the purchased license.

12. Prohibited uses

Unless AGsoundtrax gives you prior written permission, you must not:

  • Sell, resell, sublicense, distribute, share, or give away a music file by itself

  • Upload music to a stock-music, sample, template, asset, or download library

  • Make music available in a way that allows another person to extract or download it

  • Claim ownership or authorship of the music

  • Register the music or a substantially similar version as your own work

  • Register the music with a performing-rights organization as your composition

  • Register the music in YouTube Content ID, Meta Rights Manager, or a similar identification system

  • Use the music to create a competing music library

  • Include the music in a product where users can select, access, extract, remix, or reuse the music independently

  • Resell the music as part of a template when the music can be separated from the template

  • Convert the music into another format and distribute it as a standalone file

  • Use the music as a trademark, service mark, or brand identifier

  • Use previews in a final or published project

  • Use the music in unlawful, fraudulent, defamatory, hateful, or intentionally deceptive content

  • Use the music in a manner that infringes another person’s rights

  • Use the music to train, fine-tune, test, develop, or populate an artificial-intelligence or machine-learning system

  • Upload the music to a generative-AI dataset or permit an AI service to learn from, reproduce, imitate, or generate derivatives of it

  • Remove copyright, ownership, metadata, watermark, or rights-management information

These restrictions apply even if the music has been modified, shortened, remixed, or combined with other material.

13. Editing licensed music

You may make reasonable technical and creative edits necessary for an authorized end product, including:

  • Shortening the music

  • Fading it in or out

  • Looping sections

  • Adjusting volume

  • Synchronizing it with visual material

  • Making minor arrangement edits

  • Converting the file into a suitable production format

Editing the music does not create a new copyright or give you ownership of the edited recording.

You may not create and distribute a substantially similar standalone track, remix, sample pack, stem pack, or derivative music product.

14. Music packs and collections

A music pack may contain multiple tracks.

Unless its product description states otherwise, each track remains separately protected by copyright and subject to the purchased license.

Purchasing a pack does not permit you to redistribute the pack or its individual files.

The number of projects permitted depends on the license attached to the pack. If the pack includes special license terms, those terms control.

15. Custom music

Custom composition, production, editing, or sound-design services may be governed by a separate quotation, statement of work, or written agreement.

Unless a separate agreement expressly transfers ownership, AGsoundtrax retains ownership of the underlying composition, recording, production materials, and intellectual-property rights.

Payment terms, revisions, delivery dates, permitted uses, exclusivity, and ownership for custom work will be stated in the applicable written agreement.

16. Delivery and downloads

Licensed digital products are generally delivered electronically after successful payment.

Delivery may occur through:

  • An account download page

  • A checkout confirmation page

  • A secure link

  • Email

  • Another electronic delivery system

You are responsible for:

  • Providing a valid email address

  • Downloading and safely storing purchased files

  • Checking that your equipment supports the provided file format

  • Keeping your purchase receipt and license certificate

If a download is missing, corrupted, or technically inaccessible, contact us at info@agsoundtrax.com.

We may reissue a download link after verifying the purchase.

17. File formats and compatibility

Available formats may include WAV, MP3, or other formats identified on the product page.

You are responsible for confirming that the product and format are suitable for your software, equipment, and intended use before purchasing.

Minor differences in metadata, file naming, loudness, duration, or format that do not prevent ordinary use do not make a product defective.

18. Prices, currency, and taxes

Prices are displayed on the website or during checkout.

Prices may change at any time, but a price change will not alter a completed purchase.

Applicable taxes, including VAT, sales tax, or similar charges, may be calculated during checkout based on your location and applicable law.

Currency-conversion charges or bank fees imposed by your card issuer, bank, or payment provider are your responsibility.

19. Payments

Payments may be processed by Creem or another authorized third-party payment provider.

By submitting payment information, you confirm that:

  • The information is accurate

  • You are authorized to use the selected payment method

  • You authorize the applicable charge

  • You will comply with the payment provider’s applicable terms

AGsoundtrax does not necessarily receive or store your complete payment-card information.

A payment may be refused, delayed, or canceled because of fraud screening, sanctions requirements, payment-provider rules, insufficient funds, technical problems, or legal obligations.

An order is not complete until payment has been successfully processed and the purchase has been accepted.

20. Refund policy

Music licenses and downloadable audio files are digital products.

Because access and licensing rights may be provided immediately after payment, purchases are generally final and non-refundable once the files have been accessed, downloaded, or delivered.

A change of mind, purchasing the wrong license, failing to review the product description, or discovering that the music is not suitable for a particular creative preference does not automatically qualify for a refund.

We may provide a refund, replacement, corrected file, or other reasonable remedy when:

  • The purchased file is materially defective

  • The wrong product was delivered

  • A duplicate charge occurred

  • The product was materially misrepresented

  • Applicable consumer law requires a remedy

You must contact info@agsoundtrax.com promptly and provide the order number and a description of the issue.

Nothing in these Terms limits any mandatory refund, cancellation, or consumer right that cannot legally be waived.

21. Immediate digital delivery and withdrawal rights

By purchasing a digital product and requesting immediate access or download, you expressly request that delivery begin before the end of any otherwise applicable cancellation or withdrawal period.

Where permitted by applicable law, you acknowledge that your statutory right to cancel may end once the digital content has been made available or delivery has begun with your consent.

This section does not remove any right that applicable law does not allow you to waive.

22. Chargebacks and payment disputes

Before filing a chargeback or payment dispute, please contact us at info@agsoundtrax.com so we can investigate and attempt to resolve the issue.

Filing a fraudulent or unjustified chargeback may result in:

  • Suspension of download access

  • Revocation of the disputed license

  • Suspension of the associated account

  • Submission of transaction and usage records to the payment provider

  • Recovery of unpaid amounts where permitted by law

A license associated with a reversed, refunded, fraudulent, or unpaid transaction is not valid unless AGsoundtrax confirms otherwise in writing.

23. Copyright and ownership

All music, sound recordings, compositions, artwork, text, branding, graphics, files, website materials, and other content made available by AGsoundtrax are owned by AGsoundtrax, its composers, artists, licensors, or other rights holders.

They are protected by copyright, trademark, and other intellectual-property laws.

No ownership rights are transferred to you except where a separate signed agreement expressly states otherwise.

All rights not expressly granted are reserved.

24. YouTube and Content ID

Some licensed music may be registered with YouTube Content ID or another rights-management service.

A Content ID claim is not necessarily a copyright strike and does not necessarily mean that your use is unauthorized.

If you receive a claim for properly licensed music, contact info@agsoundtrax.com and provide:

  • Your purchase email

  • Your order or license information

  • The licensed track

  • The affected video URL

  • Any claim details requested by us

We will use reasonable efforts to review and release valid claims.

Claim clearing may depend on the accuracy of the information provided, the applicable platform, and third-party processing times.

We do not guarantee that every platform claim will be removed immediately.

You must not independently register AGsoundtrax music in Content ID or another rights-management database.

25. Copyright complaints

If you believe that content available through AGsoundtrax infringes your copyright, contact info@agsoundtrax.com with:

  • Your full name and contact information

  • Identification of the copyrighted work

  • Identification and location of the allegedly infringing material

  • A statement explaining your ownership or authority

  • A good-faith statement that the use is unauthorized

  • A statement that the information provided is accurate

  • Your physical or electronic signature

We may remove or restrict disputed material while investigating a complaint.

26. Acceptable website use

You must not:

  • Attempt to gain unauthorized access to the website or another account

  • Interfere with website security or operation

  • Scrape or systematically download the catalog

  • Use automated tools to copy, index, or harvest music or website content

  • Circumvent download, payment, account, or license restrictions

  • Introduce malware or harmful code

  • Use false information or impersonate another person

  • Use the website for fraud or illegal activity

Search engines may index publicly accessible website pages in their ordinary operation, but this does not authorize the copying or extraction of music files.

27. Third-party services and links

Our website may contain links to or integrations with payment processors, hosting providers, social networks, video platforms, analytics services, and other third parties.

Third-party services are governed by their own terms and privacy policies.

AGsoundtrax is not responsible for the availability, security, content, or conduct of an independent third-party service.

28. Availability and changes

We may modify, update, suspend, or discontinue part of the website or catalog.

We do not guarantee that:

  • Every track will remain available indefinitely

  • The website will always be uninterrupted

  • Every feature will work with every device or browser

  • A discontinued track will remain available for future purchases

A valid license already issued for a completed purchase generally remains valid under its original terms, unless the transaction is refunded, reversed, fraudulent, or otherwise invalid.

We recommend securely backing up licensed files after purchase.

29. Suspension and termination

We may suspend or terminate access when you:

  • Violate these Terms

  • Exceed the scope of a license

  • Redistribute or resell music without permission

  • Commit or attempt fraud

  • Abuse payment disputes

  • Infringe intellectual-property rights

  • Create security or legal risk

  • Fail to pay amounts lawfully owed

Termination does not grant a refund.

When a license is terminated because of a material violation, you must stop using the affected music and remove it from future distribution where reasonably possible.

Sections concerning ownership, prohibited uses, payment obligations, liability, indemnification, and dispute resolution survive termination.

30. Disclaimers

The website, music, and services are provided on an “as available” basis to the maximum extent permitted by law.

AGsoundtrax does not guarantee that:

  • A particular track will suit your project

  • Use of music will increase views, revenue, sales, or engagement

  • Third-party platforms will accept every project

  • Third-party algorithms will not generate a mistaken copyright claim

  • The website will be uninterrupted or error-free

We warrant only that we have the authority to grant the rights expressly included in a valid AGsoundtrax license.

Nothing in this section excludes warranties or consumer protections that cannot lawfully be excluded.

31. Limitation of liability

To the maximum extent permitted by law, AGsoundtrax and its owners, employees, composers, artists, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunity, goodwill, or production time.

To the maximum extent permitted by law, AGsoundtrax’s total liability relating to a product, license, purchase, or service will not exceed the amount you paid to AGsoundtrax for the specific product or service giving rise to the claim.

These limitations do not apply where liability cannot legally be excluded or limited.

32. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless AGsoundtrax, its owners, employees, composers, artists, contractors, and licensors from claims, damages, losses, liabilities, and reasonable expenses arising from:

  • Your use of the music outside the purchased license

  • Your end product or content

  • Your violation of these Terms

  • Your violation of another person’s rights

  • Your unlawful or unauthorized conduct

This obligation does not apply to the extent a claim was caused by AGsoundtrax’s own unlawful conduct.

33. Privacy

Our collection and use of personal information are described in our Privacy Policy:

The Privacy Policy forms part of your relationship with AGsoundtrax.

34. Changes to these Terms

We may update these Terms to reflect changes in our services, licenses, payment methods, business practices, or legal obligations.

The updated Terms will be published on this page with a revised effective date.

Material changes will apply prospectively unless applicable law permits or requires otherwise.

The license terms applicable to an existing completed purchase generally remain those accepted at the time of purchase.

35. Governing law and disputes

These Terms and any dispute relating to AGsoundtrax will be governed by the laws of [GOVERNING LAW AND COURTS], without regard to conflict-of-law principles.

The courts located in [GOVERNING JURISDICTION] will have jurisdiction, unless mandatory consumer law entitles you to bring a claim elsewhere.

Before starting formal proceedings, both parties agree to make a reasonable attempt to resolve the dispute by contacting the other party in writing.

Nothing in this section limits mandatory consumer rights.

36. Force majeure

AGsoundtrax is not responsible for delay or failure caused by circumstances reasonably beyond its control, including natural disasters, war, civil unrest, internet outages, hosting failures, payment-network failures, government actions, labor disputes, or failures of third-party platforms.

37. Assignment

You may not assign or transfer a license or these Terms without prior written permission from AGsoundtrax.

AGsoundtrax may assign its rights and obligations as part of a merger, acquisition, restructuring, sale of assets, or transfer of the business, provided that existing customer rights remain protected as required by law.

38. Severability

If a provision of these Terms is found unenforceable, it will be limited or modified only as much as necessary. The remaining provisions will continue in effect.

39. No waiver

Failure to enforce a provision does not waive the right to enforce it later.

A waiver is valid only when provided in writing by an authorized representative of AGsoundtrax.

40. Entire agreement

These Terms, the Privacy Policy, the applicable product description, the selected music license, and any separately signed written agreement constitute the agreement between you and AGsoundtrax regarding the relevant service or purchase.
